Terms of Service

1. Acceptance of Terms

By accessing and using the Batam App website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this service.

2. Services Description

Batam App provides business transformation consulting services as an independent consultant, including, but not limited to:

• AI Consulting and Implementation
• Business Strategy Development
• Digital Transformation Planning
• ERP and CRM Consulting
• Process Automation
• Corporate Training Programs
• AI Business Assessment

3. Consulting Engagement

All consulting engagements are subject to:

• A signed Statement of Work (SOW) outlining deliverables, timelines, and fees
• Mutually agreed-upon project scope and objectives
• Confidentiality agreements where applicable
• Payment terms as specified in the engagement agreement

4. Intellectual Property

Client Intellectual Property: All client data, information, and materials remain the property of the client.

Deliverables: Custom deliverables created specifically for a client become the client's property upon full payment. General methodologies, frameworks, and tools remain the intellectual property of Batam App.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any agreement.

6. Limitation of Liability

Batam App's liability is limited to the amount of fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

7. Warranties and Disclaimers

While we strive to deliver high-quality consulting services and measurable results, we do not guarantee specific outcomes. Business transformation results depend on many factors beyond our control.

Our services are provided "as is" without warranties of any kind, either express or implied.

8. Payment Terms

Payment terms are as follows:

• 50% deposit required before project commencement
• Remaining 50% due upon project completion
• For engagements over 3 months: monthly invoicing applies
• All fees are in USD unless otherwise specified

9. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, client shall pay for all services rendered through the termination date.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
